New York-based cannabis firm Acreage Holdings is teaming up with Medterra, one of the largest CBD companies in the U.S., to develop a line of full-spectrum CBD products.
Under the arrangement, which was described in a news release as a “joint venture,” Acreage’s Universal Hemp subsidiary will license the “Botanist” brand to Medterra subsidiary Five Farms, which will in turn manufacture and market a range of CBD products featuring Botanist branding.
According to a news release, the partnership allows Acreage to “tap into Medterra’s innovation pipeline, high-quality CBD, and significant e-commerce platform for immediate nationwide distribution.”
“This asset-lite approach to entering the U.S. CBD market with Medterra, a leader in the industry, will allow Acreage to realize a low-risk, high-margin revenue stream,” Acreage CEO Peter Caldini said in the release.
The Botanist-branded CBD products will be sold via Medterra’s e-commerce platform, which already features capsules, gummies, topicals and several other form factors.
The partnership is said to be a first-of-its-kind between a vertically-integrated cannabis firm and CBD company.

On June 27, 2019, Acreage implemented an arrangement under section 288 of the Business Corporations Act (British Columbia) with Canopy Growth Corporation (“Canopy Growth”), which was subsequently amended on September 23, 2020 (the “Amended Arrangement”) .
